Terms of Service

Hey there! These terms are a legal agreement between you and Compass (operated by Ven Agency Pty Ltd, ABN pending, Australia). We've tried to keep them readable while covering the important stuff. By using Compass, you're agreeing to these terms.

1. What Compass Does

Compass is a bi-directional data synchronization platform. In plain English: we help you connect your business apps (like Xero, ClickUp, Google Ads, Meta Ads, and more) so data flows automatically between them. You set up the connections, we keep everything in sync.

2. Your Account

To use Compass, you need an account. You're responsible for:

  • Keeping your login credentials secure (don't share them!)
  • Everything that happens under your account
  • Making sure the email address on file is current
  • Letting us know immediately if you suspect unauthorized access

You must be at least 18 years old and have the authority to bind your organization to these terms if signing up on behalf of a business.

3. Your Responsibilities

When using Compass, you agree to:

  • Use the service only for lawful purposes
  • Ensure you have the right to sync the data you're connecting
  • Not attempt to reverse engineer, hack, or disrupt our systems
  • Not use Compass to transmit malware or malicious content
  • Comply with the terms of the third-party services you connect
  • Not resell or white-label our service without an Enterprise agreement

4. Your Data

You own your data. Full stop. We don't claim ownership of any data you sync through Compass. We access and process it solely to provide the synchronization services you've configured.

Our Privacy Policy explains exactly how we handle your data, what we store, and who we share it with (spoiler: only what's necessary to make the sync work).

5. Payment Terms

Free Trial: New accounts get a 14-day free trial. No credit card required to start.

Billing: Paid plans are billed in advance, either monthly or annually (your choice). All prices are in AUD and include GST for Australian customers.

Payments: We use Stripe for payment processing. They handle your card details securely—we never see your full card number.

Refunds: We don't offer refunds for partial months, but if you're unhappy, talk to us. We'll try to make it right.

Price Changes: We'll give you at least 30 days notice before any price increases. Existing annual plans are locked in for their term.

6. Service Availability

We work hard to keep Compass running smoothly, but we can't promise 100% uptime. Sometimes things break. Sometimes we need to do maintenance. We aim for 99.9% uptime and will communicate scheduled maintenance in advance when possible.

We're not liable for service interruptions caused by third-party providers (Xero, ClickUp, etc.) or factors outside our control.

7. Termination

You can cancel anytime from your account settings. Your access continues until the end of your current billing period.

We can terminate your account if you violate these terms, don't pay your bills, or use the service in ways that harm other users. We'll try to give you notice first unless it's urgent.

After termination: You have 30 days to export your data. After that, we delete it. The sync connections will stop immediately, but your data in third-party apps (Xero, ClickUp, etc.) remains untouched.

8. Limitation of Liability

To the maximum extent permitted by Australian law:

  • Our total liability is limited to the fees you've paid us in the past 12 months
  • We're not liable for indirect, incidental, or consequential damages
  • We're not liable for lost profits, data loss, or business interruption caused by sync failures

This doesn't exclude liability that can't be excluded under Australian Consumer Law. If you're a consumer, you have certain rights that can't be waived.

9. Indemnification

You agree to indemnify Compass and Ven Agency against any claims arising from your use of the service, your violation of these terms, or your infringement of any third-party rights.

10. Intellectual Property

Compass, including all code, design, and branding, is owned by Ven Agency Pty Ltd. You get a license to use it while you're a subscriber—that's it.

We may use your company name and logo in our customer list unless you tell us not to.

11. Changes to These Terms

We may update these terms from time to time. For significant changes, we'll email you and give you at least 30 days notice. Continuing to use Compass after changes take effect means you accept the new terms.

12. Governing Law

These terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Victoria.
